Candidate Nomination Process and Qualifications

Nomination Process:

Nominations are sought to fill three Dealer openings on the 2023–2024 National Trailer Dealers Association (NTDA) Board of Directors. Elected members will begin their three-year terms of service at the Oct. 4, 2023 Board meeting that will be held during the 33rd Annual NTDA Convention at the JW Marriott Marco Island Beach Resort in Marco Island, Florida. Eligible candidates may nominate themselves or fellow individuals employed by Dealer member companies in good standing.

Section 4. QUALIFICATIONS

In order to qualify as a nominee for Director of the Association, a candidate must either be (i) the Chief Executive Officer or Chief Operating Officer (or for entities organized as partnerships or proprietorships, a partner or owner, as applicable) or (ii) an officer (or for entities organized as partnerships or proprietorships, a partner or owner, as applicable) or other senior management position. The Board may, in its sole discretion, waive the requirement that a nominee hold one (1) of the applicable titles or interests set forth in this Section 4. A candidate shall not qualify as a nominee for Director if at the inception of his or her term there would be another Director from a firm owning or controlling, owned or controlled by, or under common ownership or control with, the candidate’s firm. Further, to qualify, a nominee must be an NTDA Dealer, Dealer Branch Member or Allied Member must have five years of trailer industry experience, must be employed by the same member company in good standing for a minimum of five years (60 months), and have attended at least two Annual Conventions of the Associations. A candidate may not be actively serving on a competing organization’s board of directors during his or her tenure on the NTDA Board of Directors without prior written consent of the NTDA Executive Committee. The Nominating Committee has the sole discretion to determine what constitutes a competing organization. All members elected to the Board of Directors may be asked to sign a non‐disclosure agreement.
 
Please note that this year, the NTDA is seeking three (3) Dealer Candidates for the Board. Potential candidates will be presented to the Nominating Committee for review. Approved candidates will be asked to submit candidate profile information and a 300-dpi or higher color photo.

Current NTDA Chairman of the Board Mark Hall as well as Board members Travis "TJ" Johnson and Benton Reynolds will retire from the Board in October 2023 after completing their terms of service. NTDA members will hold an election in July 2023 to fill these three vacancies.

NTDA Board of Directors:

Member nominations and subsequent voting for candidates is extremely important in determining the leadership and future direction of the organization. The Board is responsible for supervision, control and direction of the affairs of the Association within the limits of applicable laws and the NTDA’s Bylaws.

Board members are required to attend two to three virtual or in-person meetings per year and participate in conference calls throughout the year. Board members may volunteer or be assigned to Board Committees and/or Task Forces. Board members are reimbursed up to $1,000 per meeting for travel and expenses relating to meetings (other than those held during the annual Convention), and for special meetings that require travel. Per the NTDA’s Bylaws, Directors may not miss more than two consecutive meetings of the Board within a given year.

To the best of my knowledge, he/she (they) meets the criteria specified; and I am confident that, if nominated and elected, he/she (they) will serve with honor, dignity and professionalism, and be an asset to our Association. Eligible candidates may nominate themselves or they may be nominated by a fellow individual employed at member company in good standing.
 
For the 2023-2024 Board, the NTDA is seeking nominations for three (3) DEALER candidates.
